Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Franky service operated by Stoodio LLC (“Stoodio,” “Franky,” “we,” “us”), including the website at yofranky.coand any related software, applications, or APIs (the “Service”). By using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old, and at least the age of legal majority in your jurisdiction, to use the Service. By using the Service you represent that you meet this requirement and that all information you provide is accurate.

2. Your account

You authenticate via Pinterest OAuth. You are responsible for the activity that happens under your account. Keep your Pinterest credentials secure. Notify us promptly of any unauthorized access.

3. Acceptable use

You agree not to:

• Upload User Content that infringes any intellectual property, right of publicity, privacy right, or other right.
• Upload User Content that is unlawful, defamatory, harassing, hateful, sexually exploitative of minors, or otherwise objectionable.
• Attempt to reverse engineer, decompile, scrape, or extract the underlying models, prompts, weights, or training data of the Service except to the extent expressly permitted by applicable law.
• Use the Service to build a competing product, to systematically evaluate or benchmark our models for the benefit of a competing product, or to train a competing model.
• Interfere with, disrupt, or place an unreasonable load on the Service.
• Misrepresent yourself or your affiliation, or impersonate any person.

We may suspend or terminate your account for any violation of these Terms, at our discretion.

4. Your content: the license you grant us

You retain all rights you have in User Content. By submitting User Content to the Service, you grant Stoodio a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual license to host, store, reproduce, modify, create derivative works from, publicly display, publicly perform, and otherwise use your User Content for the following purposes:

• Operating, maintaining, and improving the Service.
• Training, evaluating, fine-tuning, and improving our models, agents, and prompt systems, including derivative agents (members of the Franky cast).
• Publishing anonymized or representative exemplars of briefs and generated outputs to showcase the Service publicly.
• Sublicensing the foregoing rights to our service providers solely to perform services on our behalf.

You can change how we use future User Content at any time by turning on the Private toggle in Account → Private projects. Once enabled, new projects are flagged private and will not be ingested for training, exemplar publication, or the shared analysis cache. The license granted above survives deletion of your account with respect to model weights, exemplars, and derivative agents already produced before deletion or before the toggle was enabled.

You represent and warrant that you have all rights necessary to grant the license above for any User Content you submit, including any rights in Pinterest pins you reference.

5. Our content: the license we grant you

Subject to your compliance with these Terms, Stoodio grants you a limited, non-exclusive, non-transferable, revocable license to use the Service and the briefs, prompts, and outputs the Service produces on your behalf for your personal or business purposes, including in derivative works you create with third-party AI tools. We retain all rights in the Service, the underlying models, the Franky brand, and all related intellectual property.

6. Plans and billing

The Service’s current free tier is provided at no charge. Paid plans, pay-per-run, and credit packs may be introduced at our discretion. We will give reasonable notice of any pricing changes that affect you.

7. Third-party tools and outputs

Franky writes briefs and prompts you may paste into third-party AI tools (image generators, text generators, design tools). Stoodio does not control those tools and is not responsible for their outputs, terms, or behavior. Your use of any third-party tool is subject to that tool’s terms.

8. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. STOODIO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUTS WILL BE ORIGINAL, ACCURATE, OR FREE OF INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STOODIO, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF STOODIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. STOODIO’S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID STOODIO IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Stoodio and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your User Content, your use of the Service, or your violation of these Terms or any applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. The license you grant us in Section 4 and the disclaimers, limitations, and indemnification obligations in Sections 8 to 10 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms. Material changes will be announced on the Service or by email. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
